Vividentertaining.com and Vividexpressions.com are parts of Vivid Expressions LLC. Vivid Expressions LLC (operating as and also from this moment forth referred to as Vivid Expressions, Vivid Entertaining or for purposes of the Terms of Service referred to as "Company") maintains this website. Vivid Entertaining should be used for personal entertainment, informational, and communication purposes only. Please assume that all content seen on vividentertaining.com (example: images, texts, written documentation, etc) is the property of vividentertaining.com and/or our licensors, suppliers, affiliates, partners, etc. You may not: reproduce, display, distribute, modify, sell, repost, etc any Vivid Entertaining content without the expressed written permission of Vivid Entertaining and our affiliates and partners. Please download and print designated download and Print Friendly page materials. Download and Print Friendly pages may be used for the specific purpose of personal use by individual users only, not associated with a commercial business. Typos, photographic, or descriptive errors may occasionally occur unintentually, are subject to correction, and do not make Vivid Expressions LLC/Vivid Entertaining liable for typographical errors, incorrect photographic images or discontinued merchandise.

Suitable Behavior and Restrictions

We are committed to developing and presenting a friendly, professional, creative, nurturing, informative, interesting, useful, interactive and safe environment for our guests, customers, clients, and members to visit, use, purchase, and participate in. Vivid Entertaining values friendship, family, faith, and the blessings of creativty and love found in the human spirit. We also value our guests, costumers and members and respect their privacy (See Privacy Policy).

Vivid Entertaining reserves the right to cancel membership or restrict services to any guests, customers, clients, members, etc who attempts to post, promote, or attempts to use Vivid Entertaining to convey, what Vivid Entertaining, considers to be negative and unsuitable content, services, etc. Users (guests, customers, clients, and members) agree to only post appropriate statements in Vivid Entertaining forums, blogs, venues, or any other Vivid Entertaining online presence, content or other Vivid Entertaining services. Vivid Entertaining Services are not intended by used by users under the age of 16 unless approved or supervised by an adult. Members access may be immediately terminated if they are found to attempt any of the following unsuitable behavior on Vivid Entertaining.

Unsuitable Behavior (includes but not limited to):

· Display content depicting or promoting discrimination of race, color, sex, religion, nationality, disability, etc.

· Display content that may be deemed pornographic or offensive

· Use of strong, vulgar, obscene, or otherwise harmful language.

· Contain obscene or sexually explicit materials;

· Display contact promoting violence or harm to others

· Contain expressing harassing, intimidating, stalking, or threatening other community members.

· Behavior done in an attempt to invasion the privacy of others.

· Actions that may result in harm to or corruption of minors.

· Actions of any kind done in an attempt to post, upload, email, or otherwise transmitting any material that contains any malicious computer code (including spyware, worms, Trojan horses, viruses, etc.).

· Any attempt to use Vivid Expressions LLC/Vivid Entertaining to post, promote, distribute, transmit, or conduct any illegal content or activities.

· Any attempt to impersonate Vivid Entertaining members, employees, officials, customers, etc.

· Attempts to use Vivid Entertaining collecting, storing, or posting of personal data about or of other community members or to forward any junk mail or spam.

Username and Password

All Vivid Entertaining members (including but not limited to customers, clients, and wholesalers) are required to create a password for access to member only or member specific pages, make content submissions, receive special discount products, etc. Your password will be used in connection with Vivid Entertaining and our website. Members are responsible for the maintenance and confidentiality of their password and membership account. Members are solely responsible for their password, account, and any activity their password and account are used for in association with Vivid Entertaining.

Wholesale-Partner Program

Vivid Expressions LLC currently offering a limited Wholesale-Partner Program. This will be a Retailer account. Wholesale-Partners will receive wholesale discount prices on many Vivid Entertaining Home Decor and Wedding/Event products with the purchase of the Small Business Website service (please see Website/Webpage Services for more details). Products may be sold by Wholesale-Partner as a Retailer at retail prices determined by Wholesale-Partner. Vivid Entertaining will provide a catalog of available products, wholesale prices, and MSRP (Manufacturer Suggested Retail Prices). Online catalog can be set-up to take online orders through a PayPal Account. PayPal will allow customers to purchase products with credit cards. Vivid Entertaining will link their Wholesale-Partner's account (through the online catalog) to the customer's merchant PayPal account but will not be responsible for the set-up and/or maintenance of any PayPal account. Wholesale-Partners are responsible for setting-up and maintaining their PayPal account. Please see PayPal for details. Vivid Entertaining will maintain a Vivid Entertaining website, as stated in Website Service, and will update products on Wholesale-Partner's site as agreed to in service agreement. Wholesale-Partner will be responsible for the set-up and operation of their business website depending on the limitations of our hosting supplier, software, etc. Vivid Entertaining will be a Wholesale product supplier and will not be responsible or liable for Wholesale-Partner's business including (but not limited to) business licenses, business permits, fees, state or federal taxes, potential or loss of revenue, etc. This program is subject to change and program may change at anytime with and without notice prior.

Wholesale-Partner is required to provide a valid Tax ID (within 10 days of establishing the account) to maintain an active account. All Wholesale-Partner discounts are based off of the individual product retail price. Some additional shipping charges (ex: freight) may apply. Consulting Services

Vivid Expressions LLC/Vivid Entertaining offers professional creative services including (but not limited to) wedding/special event planning, event design, graphic design, marketing materials design, tabescape design/decoration, Directress/coordinating service, etc. Vivid Expressions LLC/Vivid Entertaining attempts to provide Consulting and Wedding/Event Planning service throughout the Hampton Roads region of Virginia and the Outer Banks region of North Carolina. Availability and some geographic restrictions may apply. Upon occasion we will provide service outside of the above mentioned areas (Ex: Richmond, VA, Washington DC, etc). To find out if we can offer service in your area or we are available for your event dates please contact us at events@vividentertaining.com.

Generally a minimum event budget is required. A typical minimum budget for a wedding is 60% the US National Average cost of a wedding. Example: The current cost of a wedding (as of 2007) in the US is $28,000. Therefore, the required minimum wedding budget for a Vivid Expressions LLC Client will be $16,800. USof Clients are taken on a limited basis. Vivid Entertaining will attempt to accommodate the Client's schedule for appointments when possible however; we reserve the right to refuse to conduct/decline to do house calls, evening, weekend appointments, or other appointments at times/dates that conflict with other the company or staff (including but not limited to the Executive Director) obligations or appointments. We reserve to refuse clients based upon several factors including (but not limited to) scheduled bookings on a particular event date, geographic location and distance, length of time until the event, etc. Consultant/Client meetings are on an appointment only basis. Initial consultation (and up to an additional half hour consultation before hiring the planner/consultant) is free, after which time the client is subject to Billable hours and will be billed according to the hourly rate (see Event Design and/or Planning Services for hourly service prices). Individuals interested in Vivid Entertaining Consulting Services will need call or submit a request for a consultation online - Service Consulting Requst Questionnaire. In order to provide customers with the highest level of services and individual attention they deserve, Vivid Entertaining generally books one event (ex: wedding) per day. Vivid Entertaining will make attempt to work with those submitting requests to meet their schedule and needs however; from time to time we are unable to accommodate a request for planning service. If this becomes the case, we will notify the party as soon as possible (by phone or in person) and will attempt to offer suggestions or recommendations when possible.

The consultant is hire only after the client signs a document contracting Vivid Entertaining Wedding and/or Special Event Planning Services. Vivid Entertaining normally expects clients to sign an agreement by no later than our second meeting. Both packaged and hourly services are subject to “billable hours”. Billable hours are considered time (half hour increments) spent performing tasks related to the project, service, or hired work. They may include (but are not limited to) meetings/consultation time, telephone calls, emailing, faxing, driving time/mileage, etc and may be tracked for billing purposes.

For the piece of mind of our clients Vivid Entertaining recommends that all wedding and special event clients take out an event insurance policy and Vivid Entertaining requires that all clients who choose any of event planning services package take out a Special Event Insurance policy. A basic policy (depending on size and duration of the event) will be included in the price of the certain Elite and Gala event planning packages (see Event Design and/or Planning Services for more details). Please note; if the client wishes to purchase a higher coverage and rate insurance policy from a company of their choice the consultant can be asked to help in a limited capacity (ex: offer suggestions) or the client can purchase one on their own.

Clients who choose the Personalized Bridal Guide development service do so with the intent of coordinating their own wedding/special event and understand that the Personalized Bridal Guide development service may not be combined with the Premiere package. Clients may choose to add the hourly service if they require any additional coordinating, creative, or design services beyond the Personalized Bridal Guide development. Since these clients choose not to have Vivid Entertaining coordinate the event and choose instead to coordinate it on their own Vivid Entertaining is not responsible for the event or its outcome. All packages are personalized (within reason) to client or event and items/services included in the package are subject to change by the consultant after the initial consultation. Vivid Entertaining reserves the right to change, update, add or remove available services. Services agreed to in a contract will be honored to the best of our ability and when ever possible. Changes or services will be outlined in the contract. Vivid Entertaining will customize the client’s package(s) as much as they can (within reason).

Retainer

Vivid Expressions LLC/Vivid Entertaining services and/or an event date may be retained for a limited period of time without a contract for a Retainer fee of $500. The Retainer may be applied to the towards the total amount of the service cost. The Retainer will only reserve the event date and/or services for a limited period of time (usually up to 90 days) at which time a contract service agreement must be signed and accompanied with the appropreiate deposit. During the period between the application of the Retainer and the signing of the service contract agreement and receipt of the required deposit any work (examples; meetings, consulting, referrals, etc) will be logged on record as billable hours. These billable hours may be substracted from service/work time outlined in service contract agreement.

Online Service Account Payments

For your convenience an online payment option is available for our Wedding/Special Events Planning Service(s) Clients under the Wedding & Event Consulting section of the website. You are required to establish an active Vivid Entertaining Client Account in order for your payment(s) to be accurately accredited to your wedding or special events services/package and account. Your Client Account will be established upon the signing of your service contract, payment (in person, by check or cash) of your deposit (50% of the total balance owed) and presentation of your receipt. Online payment information (example: billing name, billing address, etc) must match the billing information on the client account. Funds will be processed through the online system upon submission. Payment are usually accredited to the clients account within 48 hours however, this may take up to 72 hours (this time may be longer if technical difficulties occur). Vivid Entertaining will forward a confirmation email to the client once processing is complete.

Wedding and Special Event Website Services

Vivid Expressions LLC/Vivid Entertaining is an authorized reseller of web hosting service. Vivid Expressions LLC/Vivid Entertaining has partnered with an undisclosed 3rd party to provide website hosting and design service. Although Vivid Expressions LLC/Vivid Entertaining will design, create, and update the Vivid Expressions LLC/Vivid Entertaining client’s website technical support (ex: server, software, etc) will be maintained through the 3rd party hosting service provider. Vivid Expressions LLC/Vivid Entertaining is solely responsible for the design, create, and update of the website but does not take responsibility for any technical or performance issues. Each client will receive up to 2 hours of consultation to determine their needs and general design concept. If the client requires additional consultations time beyond the allotted 2 hours consultation they will be charged billable hours at the flat rate of $80 per hour (Creative/Artistic services may range up to $300 per hour). The design will be based upon the client’s general needs and concepts however may be limited to restrictions of both the service and design software. In addition, the client will receive up to a ½ hour of consultation time each month for updates and other changes to the site. If the client requires additional consultations during the month beyond the allotted ½ hour consultation (or the initial 2 hour consultation) they will be charged for billable hours at the rate of $80 to $300 per hour (depending on the type of consulting service being provided). The client will be informed of what can and can’t be done with the website. Vivid Expressions LLC/Vivid Entertaining will post the content determined by the client during their consultation(s). Although the Vivid Expressions LLC/Vivid Entertaining Client(s) is the website’s owner of their websites, the client Vivid Expressions LLC/Vivid Entertaining reserves the right to refuse to provide website design or hosting services that conflict with our Unsuitable Behavior, Suitable Behavior and Restrictions or any other conflict with our Terms of Service and Policies. Clients will be charged an initial set-up fee to cover the cost of reserving the server, domain name, and initial design/development of the website (see Special Event Website or Webpage Service for details). The Clients account will not be completely established until they review and accept the Website Client Terms Agreement which will be forwarded to the client for their review and signature.

Website Services Fees and Payments

Client will pay to Company the Service Fees in the manner set forth in the Order. Company may increase the Service Fees (i) in the manner permitted in the Service Description and (ii) at any time on or after expiration of the Initial Term by providing ten (10) days prior written notice thereof to Client. The Service Fees do not include any applicable sales, use, revenue, excise or other taxes imposed by any taxing authority with respect to the Services or any software provided hereunder (excluding any tax on Company’s net income). All such taxes will be added to Company’s invoices for the Service Fees as separate charges to be paid by Client. All fees are fully earned when due and non-refundable when paid. Unless otherwise specified, invoices for the Service Fees and related charges shall be due and payable within 30 days after the date of the invoice. If any invoice is not paid within 45 days after the date of the invoice, Company may charge Client a late fee of $50 for such invoice; in addition any amounts payable to Company not paid when due will bear interest at the rate of one and one half percent (1.5%) per month or the maximum rate permitted by applicable law, whichever is less. Delinquent accounts may be suspended at Company’s sole discretion. In the event of a suspension of the Services, upon a reactivation request by Client, Client shall pay Company a reactivation fee in addition to full payment of the outstanding balance due. Reactivation of services may be performed during Company’s normal business hours (Monday through Friday, excluding holidays) however, client should allow up to 48 hours for reactivation of services. If Company collects any payment due at law or through an attorney at law or under advice therefrom or through a collection agency, or if Company prevails in any action to which the Client and Company are parties, Client will pay all costs of collection, arbitration and litigation, including, without limitation, all court costs and Company’s reasonable attorneys’ fees. If any Client payment is returned for insufficient funds Company will impose a processing charge of $35. If two or more Client payments are returned for insufficient funds in any 6 month period, Company in its sole discretion may require alternative payment methods for all future Client payments including, without limitation, credit card, money order, or cashier’s check. For marketing purposes all website Clients agree that during the term of this agreement the Company may publicly refer to Client, orally and in writing, as a customer or client of Company. Any other public reference to Client by Company requires the written consent of Client (ex: Client Satisfaction Survey). Client is responsible for supplying content (pictures, video, client information, etc) for the website. Vivid Entertaining agrees to design and publish the website and does not take responsibility for the content provided by Client. Upon occasion typographical or photographic errors may occur. These errors are unintentional and subject to correction. Vivid Entertaining will make these corrections as soon as possible and as soon as we become aware of them and cannot be liable for typos, incorrect photos, etc. Vivid Entertaining reserves the right to discontinue providing this services and will provide current web hosting service clients with reasonable notice, service referrals, and other hosting options.

Vendor Referral & Recommendation Options:

Vivid Expressions LLC offers 5 types of Recommended Vendor List program options for local (and limited regional) Businesses or Vendors who are interested in doing business with or using Vivid Expressions LLC (also doing business as Vivid Entertaining), its Recommended Vendor and referral list, or its website to promote, cross-promote, refer, or recommend services and/or products. The Recommended Vendor List Program types include (but are not limited) free and paid link exchange, online advertising, and animated commerical programs in electronic and other mediums and are subject to change. See Program list below:

1. Recommended Vendor List:

This program is free to approved Businesses (also referred to as Vendors). This program is recommended for Hampton Roads Virginia area, Outer Banks NC area, Richmond area, or DC area Vendors however; Vendors from other regions are welcome to participate. A Vendor may submit their company, product and/or service for review. If Vivid Expressions LLC has had the opportunity to work with the Vendor, seen or experienced their work or service, and/or has determined through research by Vivid Expressions LLC that the Vendor/Business, products and services being reviewed is suitable for Vivid Expressions LLC (and/or its Clientele, visitors, customers, associates, etc.) at the time, the Vendor will be added to Vivid Expressions LLC Recommended Vendors List and the company, services, products, etc will be added to the Vivid Expressions LLC resource database. Vivid Expressions LLC will refer and/or recommended the approved Vendor, as it sees fit, to potential and current clients, customers, business contacts, associations, organizations, etc.

2. Online Vendor Listing Program

This program is free to approved Vendors. This program is recommended for Hampton Roads Virginia area, Outer Banks NC area, Richmond area, or DC area Vendors however; Vendors from other regions are welcome to participate. This program includes all the same requirements and benefits of the Recommended Vendor List program (see above). In addition to all the requirements of the Recommended Vendor List program, a vendor who has a website (or webpage) may submit their company website or website for additional review. After the Vendor's website/page has been reviewed and if it is determined by Vivid Expressions LLC that the Vendor/Business website is suitable for Vivid Expressions LLC (and/or its Clientele, visitors, customers, associates, etc.) at the time, the Vendor will be added to Vivid Expressions LLC Recommended Vendors list, the company, services, products, etc will be added to the Vivid Expressions LLC resource database, Vivid Expressions LLC will refer and/or recommended the approved Vendor, as it sees fit, to potential and current clients, customers, business contacts, associations, organizations, etc. The Vendor will be asked to add a link to www.vividexpressions.com or a Vivid Expressions LLC Logo or Banner (provided by Vivid Expressions LLC) to the Vendor's website (or webpage) in a suitable location. After which, the Vendor's name and contact telephone number will be added to the Vivid Expressions LLC website in the Links & Recommended Vendor page under an appropriate category.

5. Spotlight Vendor Listing (with Animated Commercial)

This program is a paid service offered to approved Vendors. This program is recommended for Hampton Roads Virginia area, Outer Banks NC area, Richmond area, or DC area Vendors however; Vendors from other regions are welcome to participate. This program includes all the same requirements and benefits of the Recommended Vendor List program, Online Vendor Listing, Enhanced Online Vendor Listing Program, and the Featured Online Vendor (see above). In addition to all the aforementioned program's features and benefits, a Vendor can choose to purchase the Spotlight Vendor Listing which will replace the company logo or related image with an Animated Speaking Character. The Character can be used to create and stream an animated commercial for the Vendors company, products or services. The Character will be hosted through Vivid Expressions LLC, on the Vivid Expressions LLC website, and shall be displayed only on the Vivid Expressions LLC website. The Character will be given a predetermined script (up to approximately 20 seconds long) and may be designed to complement the product, service, and/or image of the company being represented. After a consultation with the Vendor (consultation may be done in person, via phone, or email) Vivid Expressions LLC will be given creative license to develop, edit, create and display an appropriate Character to promote the Vendors products, services, and/or company. The animated Character’s audio message may be changed up to once a month, in writing (up to 500 text characters) with a minimum of 10 business days notice. The regular cost of a Spotlight Vendor Listing is an annual fee of $799 per year (unless otherwise offered through a special promotion - not to be combined with any other promotion.)

Small Business Website Clients

Upon occasion Vivid Expressions LLC/Vivid Entertaining will provide our wedding/special event website service to small businesses. Vivid Expressions LLC takes only a limited number of wedding or business website design and hosting clients and only takes on new clients at our discretion. Website design and hosting services are limited, contact Vivid Expressions LLC for current client availability. You must be qualified as a small business (Contact us for details on qualifying). Small business website clients will follow the same restrictions as wedding/special event website service clients. A Small Business client may also choose to add a small e-store to their site. This is an online catalog will allow a limited number of products to be displayed and sold online. The e-store will also feature a shopping cart linked to a PayPal payment system. In order to use the set-up and use the online e-store with a shopping cart you clients must establish a PayPal account (please see PayPal for details).

Client Domain Name Registration

A "Domain Name" is a name that is associated with an IP address of a website and is most often used to locate a website on the internet (ex: www.vividexpressions.com or www.vividentertaining.com). Vivid Expressions LLC/Vivid Entertaining will register a Domain Name to be associated with the Client’s website. Domain name Vivid Expressions LLC/Vivid Entertaining will register the domain name of the customer. Domain names are registered through a Domain Name registry agency and are acquired based upon Domain Name availability. In the event that the desired Domain Name is not available Vivid Expressions LLC/Vivid Entertaining will offer the client suggestions of other available Domain Name. Domain Names are only available at the time of research and are not guaranteed (ie: Vivid Expressions LLC/Vivid Entertaining is unable to see if someone else has already started the process of registering). Vivid Expressions LLC/Vivid Entertaining will not transfer website services or provide service for domain names registered through another provider. Clients who have already register their own domain name(s) through another provider or registry may have the Domain Names pointed to the Vivid Expressions LLC/Vivid Entertaining client website.

Donation Favors Network Project (DFNP)

DFNP information project is a free information sharing project offered through Vivid Entertaining. Donation Favors information is available for Clients who wish to give a charitable (and tax-deductible) donation (directly to the non-profit organization) in lieu of buying traditional wedding or special event favors for their guests. Clients will be given Donation Favors by the organization in addition to or as an alternative to traditional wedding favors. The charitable organization then provides them with special favors (elegant cards, bookmarks, or other types of favors) along with information about their gift to give to each guest. Vivid Entertaining will promote awareness of the donation favor programs of the charitable organizations we are working with. Vivid Entertaining will provide contact information, show samples, and offer clients and coordinators help with the ordering process of these party/wedding donation favors free of charge. Based upon the requests, processes, and policies of the charitable organization the Client may have to place orders directly and Vivid Entertaining will not assist them in the Donation Favor order. You do not have to be a Vivid Entertaining Client to participate in the DFNP. The Client may choose Donation Favors, Traditional Favors, or both. Favor sample materials are limited and may be shown as for “display purposes only”. The Client will pay their donations directly to the charitable organization(s) they have chosen - Vivid Entertaining acts only as your liaison and accepts not payments. Vivid Expressions LLC will not be responsible for any promise of donation and/or payment to any DFNP charitable organization. Clients are responsible for insuring payment of Donation Favors to the chosen charitable organization.

DFNP - Donation Favors Network Project (also referred to as DFNP or Vivid Outreach). This is a project of Vivid Expressions LLC/Vivid Entertaining. Vivid Expressions LLC is conducting the DFNP as community and charitable outreach. Vivid Expressions LLC does not seek any monitory reward or gain for the ordering of Donation Wedding or Special Event Favors through the organizations they associate with. You do not have to be a Vivid Entertaining Client to participate in the DFNP. Vivid Expressions LLC is acting as only a liaison between the Client (Bride, Groom, Wedding or Party Coordinator/Consultants, Party giver, etc) and the charitable organization. Vivid Expressions LLC reserves the right to relinquish this role as any time. Vivid Expressions LLC is not responsible for any product provided by the charitable organizations or the Client’s satisfaction or condition of the Donation Favors. Vivid Expressions LLC is not responsible for the delivery of the Donation Favors. The DFNP is being conducted, in good faith, to bring awareness to causes the company feels strongly about. Vivid Expressions LLC reserves the right to select which charitable organizations it is associated with or affiliated with and wishes to work with and/or promote. Vivid Expressions LLC reserves the right to add, change, disassociate, or remove organizations from the DFNP. Vivid Expressions LLC may remove the names and materials of organizations temporary or permanently removed from the DFNP at any time. List on Vivid Entertaining website may not always reflect current organizations Vivid Expressions LLC is working with. Creative and Artistic Services

No design services are offered with the Premiere or Soiree packages. For Design Concept work and/or decorations from a professional Fine Artist are offered with The Elite, The Gala, or The Muse packages (A Event Design/Decoration only package is coming soon). Custom "packages" or service proposals may be created around the client's needs and budget. Vivid Expressions LLC/Vivid Entertaining may choose to waive some, any, or all initial consultation fees as part of a promotion (for limited time). After the initial consultation (30 minute consultation) and a signed contract with deposit has been received, Vivid Entertaining may create Concept Boards, Story Boards, and/or other types of visual aids to present to the Client illustrating related aspects of the event design and/or event flow. Vivid Expressions LLC/Vivid Entertaining reserves the right to protect its Artistic and Intellectual property including but not limited to all event design concepts, ideas, designs, illustrations, sketches, renderings, paintings, layouts, visual effects, lighting effects, etc. Clients who do not sign a contract prior to a creative meeting (i.e.: a meeting to discuss the design or concept of an event) are subject to signing a Non-Disclosure or Confidentiality Agreement prior to discussing design ideas or viewing design concepts. Any event/decor designs (Design Illustrations, Concept Boards, etc) created for the event of a potential Client (ie: Someone who has not signed a service contract)are subject to a "Custom Design Art" fee which range from $80 -$300 depending on the size, scale, detail, complexity of the design, artwork, and project. Any design fees accrued for sketches and/or concept boards created for an event will be subtracted from the service package cost once the service contract is signed. Vivid Entertaining will not create revisions of any artistic rendering. Concept Boards, Illustrations, etc are Artistic Renderings which are to be used to relay a general representations of design concepts and are subject to interpretation - the final production or product(s) may vary.

Each Concept Board, Story Board, Illustration, Design, created piece, etc for the event will be considered an original work of art by the Artist (Janel Bailey Keen) and the property of Vivid Expressions LLC and Janel Bailey Keen. The Client, upon signing of the contract or confidentiality agreement, agrees to the confidentiality of any artistic concepts, designs, ideas, etc discussed or revealed to the Client for the event and will agree not to discuss, disclose, copy or imitate them with any other (including but not limited to competing) organizations, companies, designers, coordinators, etc or use as their own without the expressed written permission of Vivid Expressions LLC. In the event a package price changes Vivid Entertaining will honor the original service package price quote offered during the client's scheduled 30 minute consultation.

The Elite and Gala package include a specific limited amount of "planning Consultation" time which may be used for Creative and Design Services. Additional time required to do Creative and/or Design may be subject to billable hours at the established hourly rate. Vivid Expressions LLC/Vivid Entertaining Creative Services also may be hired on an hourly basis only. Some restrictions may apply depending on a number of factors including availability, the type of work requested, time needed to complete work or deadline, amount of work required, etc. Aspects of the Hourly Creative Service project will be discussed during (30 minute) consultation.

Vivid Entertaining is a division of Vivid Expressions LLC. In order to contact the customer in cases of issues involving their order, we must have the customer's correct contact information. It is the responsibility of the customer to provide complete and accurate contact information during the time of sale.

Elite or Premiere Wedding Package Promotion - The Elite and/or The Premiere special offer is a Vivid Entertaining (a part of Vivid Expressions LLC) special promotion. Virginia Sales Tax apply to all products and services. Only one promotional offer per couple, business, client, or organization. All promotional offers shown are not to be combined or used with any other Vivid Expressions LLC/Vivid Entertaining special offers unless otherwise stated. Clients who choose the promotional 10% discount will receive 10% off of the regular price of the Premiere service package. The promotional discount will be applied to the cost of the service package and will not include any "a la carte services" hourly services or additional products above the cost of or in addition to the package. Clients who choose the Elite package with Personal Wedding Website Service Promotion will receive 1 year of Personal Wedding Website service. Service start date will begin within 60 days of the signing of the service contract. Free Personal Wedding Website service package promotion will only be offered with the Elite Service Package only. At the end of the 1 year of free service Clients will be given the option of continuing service at the regular price or canceling website service. Personal Wedding Website services are subject to all other website policies, services, and content restrictions associated with Vivid Expressions LLC/Vivid Entertaining Terms of Service/Use. Vivid Expressions LLC/Vivid Entertaining reserves the right to end any promotion at anytime without prior notice. Vivid Expressions LLC/Vivid Entertaining will make every attempt to update our website regularly and will try to remove or update promotions however; we are not responsible for any information regarding expired promotions which may still be posted on our website or other forms of marketing (ie: other websites, flyers, mailings, etc.)

The Champagne Flutes or Picnic Backpack are available only while supplies last. The Champagne Flutes or Picnic Backpack will be delivered prior to (or no later than) the day of the event. These offers are special gifts to our clients from Vivid Expressions LLC/Vivid Entertaining for using our wedding planning/consulting service(s) for their special event. Champagne Flutes and/or Picnic Backpack as seen in promotion(s) are available and offered based upon suppliers product availability and actual Champagne Flutes or Picnic Backpack (and availability of embroidering) maybe different then show. If picnic backpack is not available client will be offered a similar pack back (in available color and no embroidery) or a Cooler Tote with embroidered initials). Champagne Flute and/or Picnic Backpack offer will be null and void if the contract is cancelled or the client's balance is not paid prior to the event as stated in their contract.

Sales Tax

All Vivid Expressions LLC/Vivid Entertaining products and services may be subject to Virginia Tax Sales Tax (of 5%). We are required by law to charge a sales tax of 5% for all orders delivered within the state of Virginia. Shipping/delivery costs are subject to tax.

Cancellation

Online Orders: Once an order has been submitted online it can not be cancelled through our system. All online sales are final. All Personal Shopper sales are processed through our office and are complete once the order(s) has been processed and a confirmation number, confirmation email, electronic notice, electronic receipt is created, written receipt, or printed receipt. These (Personal Shopper) sales are final upon issuing the customer's confirmation number, confirmation email, electronic notice, when an electronic receipt is created, written receipt is created, or printed receipt is created.

Consultations or meetings: Vivid Expressions LLC/Vivid Entertaining can schedule Consultation/Meeting Appointments in the day time, evening, weekends, and at the Client and/or Potential Client's home on a limited basis and based upon our availability. Vivid Entertaining can also meet clients at convenient location (ex: Barnes and Noble). These appointments can be for consulting discussions (ex: event planning) or to meet a vendor (ex: Bridal Gown Shop). If a client has an emergency and needs to cancel we ask that they contact us to cancel as soon as possible. If the client is meeting with Vivid Entertaining (and not another vendor) and needs to cancel due to a non-emergency, then the client is asked to cancel 24 hours prior to the appointment. If there is another vendor attending the meeting and Vivid Entertaining has set up the appointment, Vivid Entertaining asks that the Client provide Vivid Entertaining with 48 hours (2 business days) notice so we may contact the vendor to reschedule with the vendor.

Wedding/Event Planning Services: Either party may terminate this agreement, with or without cause, by giving the other party written notice (hardcopy) thirty days prior to the termination. The coordinator shall cease to work on the termination date and shall not incur further expenses in connection with the services. The client shall pay for all services rendered up to the termination date. Deposits are non-refundable after 14 days of signing the service contract. The client's date has been exclusively reserved for the client's event based upon Vivid Expressions LLC | Vivid Entertaining coordinator (staff, assistants, etc.) availability. Due to other business that may be turned away or work that may be done on this project; if the client cancels their package 6 months prior to the event than the client will pay 50% of the remaining balance. If the client cancels 3 months prior to the event than, the client will pay 75% of the remaining balance. If the client cancels within 60 days of the event then the client will payment the full remaining balance. If wedding or special event services are booked within less than 6 months prior to the event than the payment/cancellation schedule will be adjusted for the accelerated timeline and will be reflected in the Client's contact.

Website Services: Client will be deemed to have accepted services unless Client notifies Company within 5 days after performance of any services. Website services commence on the effective date indicated in the order. Website service will automatically renew for successive one month periods unless the order is terminated early in accordance with its terms or either party gives written notice to the other party of non-renewal at least 30 days prior to expiration of the term.

Liability:

As a Event Coordinator and/or Planner, Vivid Expressions LLC | Vivid Entertaining is acting solely as an agent for the client. All other vendor contracts will be signed by the client and the client is responsible for all payments in full. Although Vivid Expressions LLC | Vivid Entertaining provides coordination and referrals, each vendor is responsible for his or her own actions. Vivid Expressions LLC/Vivid Entertaining highly recommends that Clients please read each Vendor contract carefully. Vivid Expressions LLC | Vivid Entertaining does not accept responsibility for vendor cancellation if payments to vendors are not received in the time agreed to guarantee confirmation of such vendors. Vivid Expressions LLC | Vivid Entertaining does not accept any monies from vendors.
